Service
These Terms of Service ("Terms") govern your use of the website and consulting services provided by SkillCloud Solutions Pvt Ltd ("we", "us", or "our"). Please read them carefully before engaging our services.
These Terms, together with any applicable Statement of Work, Master Service Agreement, or Non-Disclosure Agreement, form the complete agreement between you and SkillCloud Solutions Pvt Ltd. In the event of a conflict, the signed SOW or MSA prevails.

Binding Agreement
By accessing or using the website at skillcloudsolutions.com, requesting a consultation, or engaging SkillCloud Solutions Pvt Ltd for any consulting services, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service and all applicable laws and regulations.
Capacity to Contract
You represent that you are at least 18 years of age, have the legal capacity to enter into contracts, and — if acting on behalf of a company — are duly authorised to bind that organisation to these terms.
Updates to Terms
We reserve the right to modify these terms at any time. Changes take effect upon posting to our website. Your continued use of our services after changes constitutes acceptance of the revised terms.
Consulting Services
SkillCloud Solutions Pvt Ltd provides enterprise consulting services including ERP implementation and transformation (SAP S/4HANA), AI and advanced analytics solutions, cloud infrastructure and migration, data strategy and governance, and digital transformation advisory.
Engagement Basis
Specific services, deliverables, timelines, fees, and responsibilities for each engagement are defined in a separate Statement of Work (SOW) or Master Service Agreement (MSA) signed by both parties. These Terms of Service govern where the SOW/MSA is silent.
Service Availability
We reserve the right to modify, suspend, or discontinue any service at any time with reasonable notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation of services.
SkillCloud Owned Materials
All website content, methodologies, frameworks, tools, templates, and pre-existing intellectual property developed or owned by SkillCloud Solutions Pvt Ltd ("Background IP") remain the sole property of SkillCloud Solutions Pvt Ltd. No transfer of ownership is implied by engagement.
Client Deliverables
Deliverables created specifically for you under a signed SOW ("Foreground IP") will be assigned to you upon full payment, unless otherwise specified in the SOW. Any Background IP incorporated into deliverables remains licensed to you for internal business use only.
License to Use
You are granted a limited, non-exclusive, non-transferable licence to use our website and any licensed materials solely for your internal business purposes. You may not reproduce, redistribute, or create derivative works without written permission from SkillCloud Solutions Pvt Ltd.
Mutual Obligations
Both parties agree to keep confidential all non-public information disclosed during the course of the engagement ("Confidential Information"), including business strategies, technical specifications, financial data, and client lists.
Exclusions
Confidentiality obligations do not apply to information that is or becomes publicly known through no breach of these terms, was rightfully known prior to disclosure, is independently developed, or must be disclosed by law.
Duration
Confidentiality obligations survive the termination of any engagement or these terms for a period of three (3) years, or as otherwise specified in a signed confidentiality or non-disclosure agreement.
Fees & Invoicing
Service fees are as agreed in the relevant SOW or engagement letter. Invoices are issued as per the agreed billing schedule (typically monthly or milestone-based). All fees are stated exclusive of applicable taxes (GST, etc.) unless noted.
Payment Due
Payment is due within 30 days of invoice date unless otherwise agreed in writing. Late payments attract interest at 1.5% per month (or the maximum permitted by law, if lower) on the outstanding balance.
Disputed Invoices
If you dispute an invoice, you must notify us in writing within 14 days of receipt, specifying the amount in dispute and the reason. Undisputed portions of invoices remain payable by the due date.
Disclaimer of Warranties
Our services and website are provided "as is" and "as available". We make no warranties, express or implied, regarding accuracy, completeness, merchantability, or fitness for a particular purpose, except as expressly stated in a signed SOW.
Cap on Liability
To the maximum extent permitted by law, SkillCloud Solutions Pvt Ltd's total liability for any claim arising from these terms or any engagement shall not exceed the total fees paid by you in the three (3) months preceding the event giving rise to the claim.
Exclusion of Consequential Damages
In no event shall either party be liable for indirect, incidental, special, punitive, or consequential damages, including lost profits or data, even if advised of the possibility of such damages.
Termination by Either Party
Either party may terminate an engagement with 30 days' written notice. Termination of a specific engagement does not affect these general Terms of Service or any other active engagements.
Termination for Cause
Either party may terminate immediately upon written notice if the other party materially breaches these terms and fails to remedy such breach within 14 days of notice, or becomes insolvent or bankrupt.
Effect of Termination
Upon termination, you must pay all outstanding fees for work completed to date. Provisions relating to intellectual property, confidentiality, limitation of liability, and governing law survive termination.
Governing Law
These Terms of Service are governed by and construed in accordance with the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts in Nagpur, Maharashtra, India.
Dispute Resolution
Before initiating formal legal proceedings, both parties agree to attempt to resolve disputes in good faith through direct negotiation for at least 30 days. If unresolved, either party may refer the matter to binding arbitration under the Arbitration and Conciliation Act, 1996.
